    SAMPLE

    THIS MUSIC PUBLISHING AGREEMENT is made on 4th February 2022, between

    Gesco Kenya, an independent artist (herein after referred to as 

    “Publisher”), and Job Kidaha, a producer/artist hereinafter referred to as Featured artist). 

    WHEREAS, the Publisher owns and controls certain royalties which are referred to as Musical Work throughout this document;  

    WHEREAS, the Publisher is engaged in the business of music publishing and distribution and has certain facilities and services available to it for the administration and exploitation of the song; and  

    WHEREAS the Featured artist has desired to grant the Publisher right to publish and distribute the song and further the Publisher desires to appoint the Featured artist to act as non-exclusive administrator of the Musical Work and the Featured artist is willing to accept such responsibility, control, and appointment.  

    NOW THEREFORE, in consideration of the conditions and covenants contained in this Agreement, the parties agree as follows:  

    1. Description of Musical Work.

    The Publisher owns and controls the Musical Work which is comprised of the musical composition (SIDI).

    • Grant of Rights.

    The Featured artist hereby, assigns, transfers and delivers to the Publisher the exclusive right to administer, distribute, advertise, and otherwise deal in and for the song, all of which the Featured artist agrees to according to best business practices generally prevailing in the music publishing industry. The above grant includes by way of example but not limitation:

    • The exclusive right to publish, advertise, vend, and sell in all forms, the Musical

    Work, and to collect all fees and royalties becoming due for them;

    • The exclusive right to prosecute, defend, and settle any third party action or claim relating to the Musical Work and the respective rights of the Publisher and the Featured artist therein. No such action shall, however, be settled without the prior consent of the Featured artist, such consent not to be unreasonably withheld; provided, however, that such consent shall not be required if the Featured artist is then in breach of a material representation, warranty, or obligation of the Featured artist set forth in this Agreement; and
    • The exclusive right to enter into agreements with related or unrelated third parties for the so-called “sub publication” of the Musical work throughout the world and to collect all fees and royalties becoming due thereunder.

    3. Representations and Warranties of the Parties.

    The Featured artist represents and warrants to the Publisher that: 

    • Featured artist has the full right, power, and authority to enter into this Agreement and to grant to Publisher all rights purported to be granted to Publisher;
    • The Publisher has full rights over the Song and is protectable by the copyright laws of their country, and the administration, control, use, and exploitation thereof by the Featured artist will not subject the Publisher to liability of any kind to any third party;
    • there are and will be no liens or encumbrances upon the Musical Work and the Featured artist has not heretofore and will not hereafter solicit or accept any payments from any third party which would in any manner diminish the monies available to Publisher for the administration, or exploitation of the song. 

    The Publisher represents and warrants to the Featured artist: 

    • the Publisher is, and will be during the term, active in Kenya and, through licensees or collection agents or societies elsewhere in the world, in the business of music publishing; and
    • The Publisher has the full right, power, and authority to enter into this Agreement and to grant to Featured artist all of the rights purported to be granted to Featured artist.

    4. Compensation

    Payment of Royalty. The Publisher agrees to pay the Featured artist, during the original term and any royalties garnered with respect to the song, as follows:  

    50% of all distribution profits made on all platforms except YouTube where the Publisher will have full ownership of the royalties

    The Publisher shall render to Featured artist a written statement of account as to the royalties becoming due to Featured artist under this Agreement within ninety (30) days after the payments have been made. Each such statement shall be accompanied by payment of the amount (if any) shown to be due. Each such statement shall be an account stated, final and binding and not subject to any objection for any reason whatsoever by the Featured artist, unless the Publisher shall have received written notice of objection specifying the items objected to and the factual and contractual basis of objection from the Featured artist within a reasonable period from the date of any such statement, then that portion of the statement not objected to shall be an account stated as aforesaid.  

    • Term. This Agreement shall be effective as of the date first set forth above provided both Parties have signed. 
    • Relationship of Parties. Nothing contained in this Agreement shall be construed or interpreted as constituting a partnership, joint venture, agency, or employer/employee relationship between the parties. No third person is intended to be a third party beneficiary hereof.
    • Severability. If for any reason a court of competent jurisdiction finds any provision or portion of this Agreement to be unenforceable, that provision of the Agreement will be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remainder of this Agreement will continue in full force and effect.
    • Notices. Any Notices which either party desires or is required to give to the other shall be in writing, sent postage prepaid, certified or registered mail, return receipt requested,

    and shall be addressed to the addresses of the parties in the beginning of the Agreement.

    The date of mailing shall be the date of the giving of notice.

    1. Entire Agreement. This Agreement constitutes the entire understanding between the parties. It shall not be modified except in writing signed by both parties.
    2. Assignment. A party may not assign any of its rights or obligations under this

    Agreement without the prior written consent of the other party. This Agreement shall be binding upon and to the benefit of each party and its respective successors and permitted assigns.

    1. Counterparts. This Agreement may be executed in any number of counterparts, each of which shall be an original as regards to any party whose signature appears thereon and all of which together shall constitute one and the same instrument. This Agreement shall become binding when one or more counterparts of it, individually or taken together, bear the signature of each of the parties. Each party shall execute and deliver to the other and to third persons such other and further instruments and correspondence as shall be reasonably required to effectuate the intents and purposes hereof.
    2. Headings

    Headings and titles in this Agreement are for reference purposes only and do not constitute part of this Agreement and are of no legal force or effect.

    1. Governing Law

    This Agreement shall be governed by the laws of the country of Kenya.

    I tried to love. Loved till it hurt. Convinced myself that I was doing it for things unseen.     I grew strong in faith; with every passing day, every passing pain, every joy, every death and every illness, all I wanted was him. I asked myself what would happen if I stopped believing in him. But how could I stop? How could I run away from someone who loved me so much that he chose my life at the expense of his. Honestly, he was perfect, flawless, selfless, a person you can compare with no other. All he had was a different kind of love, a love so powerful that had to be tragic or let me just say fatal. But his sacrifice only led to better things. Due to this, I had to continue having faith in him. Whenever I doubted, the fear was overwhelming, what if we met again, will I be in a position of explaining my betrayal, no he was the love of my life.

    But the awe somehow fades, and I began to meet people who were supposed to be close to him like I was but were not so overwhelmed by his love. I met people who would not sacrifice for anyone. I prayed so hard, that was the only thing mama had taught me to do when I did not know what to do. I hoped that through prayer, they will somehow change. Sadly, nothing happened and some even passed still the same.  

    Their kind of life troubled me. I wanted to preach to them, but their life was good. They did not need his love. Could I join them? I wondered, maybe if I stopped loving so hard I can be rich than them, but wait, how could I betray someone who died for me.

    The more I tried to be perfectly loving the more I failed. It felt like I would cause more pain to the ones I loved when I tried to love them more. I was such a mess. Again, I thought of giving up on this love but like the usual it was too overwhelming.

    As time went by and the struggles in life heightened, I just found myself out of track, I had given up. I started believing it was a lie. Maybe I was right. Maybe I was wrong. I became sceptic. With my skepticism I was able to love more, but now another different kind of love. It did not have to hurt for me to feel love, or loved. I began appreciating the little acts of love all around me. I began to see the need to love myself, and do things I would normally not do. For me, skepticism was the light I saw. The change within was great. Like every other aspect of my life, I can’t say it was entirely sweet, skepticism too is disturbing in its own way. But that is what it is all about, I was born disturbed and that is a thing even my skepticism confirms nothing can change. Maybe I should find a way of loving my skeptic nature, this too will be a different kind of love.

    I’m sure you’ve heard of the phrase “Age is just but a number.” I beg to differ though some might curse me for this.

    This is not to say that when the age gap is too big, two people cannot settle for a beautiful relationship.

    At first, it might seem okay but as time goes, you’ll realize that there are drastic changes in your lifestyles and this is when the glow in your relationship will start dimming.

    It will be ugly, trust me. It is even worse when you are an extrovert, I can spare introverts on this.

    For extroverts, you might still have warm blood for travelling and going out most of the time but your partner will not. It will be ugly, I repeat.

    According Seth Meyers, Ph.D., a psychologist and the author of Overcome Relationship Repetition Syndrome and Find the Love You Deserve, age difference matters. Meyers says that an age gap bigger than ten years often has certain issues which are different keeping in mind that all relationships have issues.

    In regard to big age differences, Rachel Sussman, a profound licensed marriage and family therapist based in New York once stated “You can see varied cultural references, disapproval from family and friends, and perhaps community disapproval, as well,” 

    She added,

     “It might be hard to relate to each other’s peer groups too.”

    Therefore, when you want to date someone older by more than 10 years, ensure that you know exactly what you want from them. Also, keep in mind that changes are inevitable and you are prepared to handle them.

    The Shocking Trending Story of Shiko and Rama Delivering by Themselves

    Unassisted child birth is not a common thing and yesterday the internet was on fire with the story of Shiko and Rama trending. Imagine this couple decided to undergo the child birth process by themselves at the comfort of their home without assistance from a medical birth attendant (midwife).

    On that day, which is six days ago, the young couple did not know that Shiko was going to deliver on this particular day. Therefore, they went on their usual routine and at around 1PM, Shiko drove to the market to purchase some groceries.

    While still in the market, she realized that the contractions were unusual since they were getting intense and consistent and so she called her midwife to inform her of the situation.

     “I had been having Prodromal contractions for a while, at 1.30PM I called my midwife and told her you know what I think this might be the real thing because they have been pretty consistent. I had timed them on a contraction App and they were coming once every three minutes. After timing around 4 of them the App just stopped and said call an ambulance, go to the hospital”

    However, the midwife was not around and that meant that she was not able to come immediately.

    Prodromal labor

    This is a type of labor that comes before active labor but does not progress towards delivery. It’s also irregular with contractions lasting for around 30-45 seconds giving the expectant mother around 5-30 minutes of rest in between contracts. Usually, they last for a period of around 8-12 hours.

     Hurriedly, she drove back home to her loving husband Ramsey and told him that the surges were becoming intense and since the midwife was out of reach, they will have to undergo the process.

    All these things are being shown in their 24 minute video. When the App informed her that things were serious, on reaching home she reported the info to the husband but since the surges had been happening for quite a while, the husband was confused whether the day had arrived or it was just the usual surges. 

    Shiko Nguru, a 34 year old mum of 3 now; 8 year old girl, 2 year old boy and newly born bouncing baby boy posted on her Vlog the entire experience from the time she started experiencing surges, actual labor and the delivery moment.

    What is flabbergasting is the fact that they made it look so easy having taken only 44 minutes for the baby to come out.

    The birth process

    The actual video of the birth process starts at 2.01 PM. During this time, the labor started and Shiko requested the husband to do some intense back massage. Ramsey continued to do the massage for a couple of minutes.

    “He continued giving me those back massages and continued telling him to put pressure even I now have bruises on my back side”

    “She insisted I use a lot of pressure, I massaged her with my fists”

    At the time, the contractions were intense and were coming like every two minutes. “The pressure was need to counter the pressure I was feeling inside” Shiko explained.

    “During her surges, I had to drop everything that I was doing just to ensure that I rel ieve the pain she was feeling” 

    She wanted to give birth in a pool and so they had discussed with their midwife who booked the pool for them earlier in the week.

    So when she started experiencing labor, Ramsey started filling the pool.

    At some point, Shiko wanted so much to get into the water and so she told rama

    “Why don’t you go to our laundry room and get the water horseso that we can fill the pool faster.”

    When Rama dashed to get the horse pipe, the unexpected happened, the contractions became more intense with an urge to push.

    “Immediately he left the bathroom, the next surge I had was different from all the other surges because it came with this incredible pressure to push.”

    It was now around 2.25pm, shiko did not think that the time for pushing had arrived since she had only been experiencing labor for an hour only. This shocked her and so she curled over.

    Rama came in and dropped everything seeing the wife in a bad state. He then poured one more bucket and shiko got into the pool. It was 2.30PM.

    Rama wanted to call the midwife again but shiko refused saying they will have to do the delivery by themselves. She then held her hand, comforting and encouraging her as she pushed.

    That’s how Tawi was born; at 2.45PM.
